TERMS OF USE

Services

Recruit is a proprietary platform connecting candidates to opportunities with entities and entities with candidates seeking opportunities (the “Services”).

These Terms & Conditions apply to all visitors to any Recruit platform, including all users of the Recruit Services, including users who submit Content in order to utilize the Recruit Services. As used by Recruit, “Content” shall mean any text, graphics, photos, videos, sounds, audiovisual combinations, resumes, music, URL, website, software, scripts, interactive features of any kind, and any other data or material that may be viewed on or accessed through the Recruit platform. The Recruit Services includes all Recruit offerings, including by way of example only, any website, mobile application, or other software product that connects candidates with opportunities and those offering them.

Any unauthorized use, reuse, or republication of any Content or other content, information, data, or job postings, in any way, is strictly prohibited. Recruit specifically prohibits any and all job aggregators or other spiders reposting any content herein without its express written consent. Recruit reserves the right to charge a fee for collection of and access to the Content collected, or for any other reason it deems fit, throughout the Recruit platform. Notwithstanding the foregoing, you will not be charged without initially opting into the pay-for service.

If any fee is charged, you agree to honor your payment obligations and agree to Recruit storing for future use the payment information provided by you, including any credit card information for ease of future billing and payment. You further understand that Recruit pricing may be subject to additional fees and taxes based on the billing information that you provide Recruit at the time of purchase. The billing information provided may also subject you to exchange rates, and you specifically understand and agree that Recruit has no control over the rate of currency exchange. No refund for paid services are guaranteed.

Registration

When you create a Recruit account, you will provide us with various information about you, including your name, phone number, email address, physical address, and a password. By creating an account, you are entering into a legally binding contract with Recruit, whereby you will have agreed to our User Agreement and Privacy Policy. By creating a Recruit account, you specifically consent to Recruit and others viewing your profile, identifying you as a user, and, where applicable, contacting you directly. Although Recruit believes that all workplaces should be free from any discrimination, and its internal practices dictate that it be a workplace free from discrimination, it is not and cannot be responsible for the practices of others, including its users, and you consent to this limitation upon registration across our platform.

Cookies

We may use cookies and similar technologies to collect information. Though you can opt out of cookies, the Recruit platform may not properly function and your experience may be less beneficial or enjoyable than it could otherwise be.

We may use cookies and similar technologies, including mobile application identifiers, to help us recognize you across the Recruit platform, learn about your interests both on and off Recruit, improve your experience, increase security, measure use and effectiveness of our Services, and serve advertising. You may be able to control cookies in “settings” and other tools. By utilizing Recruit tools through our platforms, you consent to the placement of cookies, beacons, and similar technologies in your browser and HTML-based emails. If you don’t want us to use cookies when you visit Recruit, you may be able to opt out of some cookies through your “settings”, however, a Recruit opt-out cookie may be placed upon your device in order to recognize your opt-out status during subsequent visits to Recruit. Of course, you can also change your browser settings on your device if you do not want to receive cookies. Please note that if you use Recruit without opting out or changing your browser settings, Recruit may place all cookies it deems appropriate for your smooth user experience throughout the Recruit platform.

Data Retention

Recruit may keep your information and content, multimedia or otherwise, for the entire period of time that you remain a registered user and, in some instances, longer. Certain information may be retained after you close your account as part of any compliance with regulatory requirements, legal obligations, dispute resolution, fraud and abuse prevention, or for any other reason Recruit deems just and proper. Nothing herein shall require Recruit to retain any information or content submitted by the user.

Change of control

It is possible that Recruit, or any division of Recruit, is sold in whole or in part. If a sale or other transfer of interest is considered or occurs, the information and content that you have provided Recruit will be shared with a third party, who will have all rights that you have granted Recruit.

License

Although you will continue to own all of the Content that you submit to Recruit, you grant Recruit a free perpetual non-exclusive license to use such Content in any way we see fit, unless otherwise limited by you through the choices you make on the Recruit sites. You further grant Recruit an exclusive license to use the proprietary Recruit profile created for you only through the Recruit platform. Included in the Recruit licenses is the ability to restrict third parties from charging a fee to create Content for you. Implicit and required in this license is your promise to provide only Content that you own or otherwise have the right to disseminate or otherwise use. YOU SPECIFICALLY CONSENT TO INDEMNIFY RECRUIT AGAINST ANY AND ALL DAMAGE RESULTING FROM THE PROVIDING, POSTING, OR UPLOADING ANY IMPROPER OR ILLEGAL CONTENT. The license that you provide Recruit shall include the ability for Recruit to moderate, use, modify, distribute, copy, publish, and/or process the Content you have provided in its sole discretion without any further consent, notice and/or compensation to you or others, however, we will endeavor not to alter the meaning of your Content unless required by law or pursuant to our own internal policies. Recruit shall be permitted in all circumstances to post or remove Content as it deems fit, for any reason whatsoever.

Notwithstanding the foregoing, you can limit our license by deleting any of your Content or otherwise closing your account, subject to dissemination that has already occurred and data that is part of the Recruit cookies and backup data systems.

Content Use and Restrictions

The Content contained across the Recruit platform is largely created by people that are unaffiliated with Recruit and, therefore, Recruit has no control over such submitted Content and makes no guaranty or warranty as to the validity or accuracy of the Content. Notwithstanding the foregoing, Recruit will make an effort it deems reasonable to provide all users with a pleasant and useful experience and, as a result, reserves the right to moderate the Content at any time and may choose to reject any Content, or part thereof, for failure to meet our standards. In no way, however, does Recruit take any responsibility to remove any particular Content and disclaims any responsibility for any Content that may be, by way of example but not limitation, inaccurate, inappropriate, improper, or untrue. Each entity and individual utilizing the Recruit platform is wholly responsible for their own actions or inactions as relates to the Content, including but not limited to, the choice to apply for an opportunity, to interview or choose to interview a candidate, or to accept any candidate or position through the Recruit platform. Recruit does not have any obligation to post any Content from any individual or entity in any particular order, and may choose to rearrange Content or remove Content for any reason or no reason in its sole discretion.

The Recruit platform discourages the uploading of, and will remove upon reasonable notice, Content that is unlawful, abusive, discriminatory, threatening, fraudulent, libelous, defamatory, obscene or otherwise objectionable, or that contains sexual, ethnic or racial or other discriminating slurs, or material that contains no relevant or constructive content, which goes beyond profanity into obscenity or abhorrence, or that is otherwise in violation of the law or the standards set forth by Recruit. You are also prohibited from posting any Content that contains proprietary information, trade secrets, or confidential information including but not limited to social security number, passport number, national identification number, insurance number, driver‘s license number, immigration number, or any other similar number, code, or identifier. Unless otherwise agreed to by Recruit in writing, Content may not contain any solicitation, advertisement, chain letter, investment opportunity, pyramid scheme, or other unsolicited commercial communication. Further, Recruit reserves the right to restrict any third party from utilizing or charging for the creation of Content.

You specifically agree to only provide Recruit with Content that does not violate the law or anyone else‘s rights, including, for instance intellectual property rights of others. You also agree that your profile information will be truthful. Recruit may be required by law to remove certain information or content in certain countries.

Notice to Third Parties

Third party service providers are hereby made aware that Recruit profiles are proprietary to Recruit and the unique Recruit user. As a result, no third party service provider shall in any way monetize any Recruit profile without the written consent of Recruit.

Eligibility and Age Restriction

By registering to utilize the Recruit Services, you are affirmatively stating that you are legally capable and competent to enter into the Terms & Conditions set forth in this contract with Recruit (for instance, that you are over eighteen (18) years of age) or that you have obtained consent from your parent or legal guardian. All Recruit users agree to certain terms and conditions, including the Recruit minimum age requirements and registration restrictions. Specifically, if you live in the United States, you will be at least fourteen (14) years of age on the date of registration and you will register on Recruit only once as a candidate, and only in your legal name or generally accepted nickname. Notwithstanding the foregoing, Recruit is not to be used by anyone under the age of fourteen (14) or anyone else that Recruit would be prohibited by law from providing services to for any reason including that of age.

Disclaimers

AS A RECRUIT USER YOU SPECIFICALLY AGREE AND CONSENT THAT THE USE OF THE RECRUIT SERVICES AND THE CONTENT THEREIN SHALL BE AT YOUR OWN RISK AND YOU RELEASE RECRUIT AND ITS AGENTS, PARTNERS, EMPLOYEES, OFFICERS, DIRECTORS FROM ANY LIABILITY IT OR THEY MAY OTHERWISE HAVE IN CONNECTION WITH YOUR USE OF THE RECRUIT SERVICES.

YOU SPECIFICALLY AGREE AND CONSENT THAT RECRUIT SHALL HAVE NO RESPONSIBILITY OR LIABILITY, AND DISCLAIMS SAME, FOR THE ACCURACY, COMPLETENESS, LEGALITY, RELIABILITY, OR AVAILABILITY OF ANY CONTENT ACROSS THE RECRUIT PLATFORM.

TO THE EXTENT ALLOWED UNDER LAW, RECRUIT AND ITS AGENTS, PARTNERS, EMPLOYEES, OFFICERS, DIRECTORS DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, IMPLIED OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF CONTENT OR DATA, AND THE NON-INFRINGEMENT OF OTHERS‘ RIGHTS. RECRUIT DOES NOT GUARANTEE THAT THE SERVICES WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS. RECRUIT PROVIDES SERVICES ONLY ON AN “AS IS” AND “AS AVAILABLE” BASIS. RECRUIT AND ITS AGENTS, PARTNERS, EMPLOYEES, OFFICERS, DIRECTORS FURTHER DISCLAIM ANY AND ALL LIABILITY FOR ANY CONTENT ACROSS THE RECRUIT PLATFORM THAT MAY BE OFFENSIVE, MALICIOUS, INAPPROPRIATE, DISTASTEFUL, INACCURATE, OR UNTRUE AND FURTHER DISCLAIMS ANY WARRANTY OR LIABILITY FOR THE SECURITY OF THE INFORMATION TRANSMITTED TO OR UPLOADED TO RECRUIT.

ALTHOUGH RECRUIT TAKES COMMERCIALLY REASONABLE STEPS TO SAFEGUARD YOUR INFORMATION, SINCE ONLINE SECURITY IS NOT IMPENETRABLE, RECRUIT MAKES NO WARRANTY OR GUARANTEE THAT YOUR INFORMATION IS SECURE AND SPECIFICALLY DISCLOSES TO YOU, THE USER, THAT YOUR INFORMATION MAY BE ALTERED, DISCLOSED, ACCESSED, OR DESTROYED BY BREACH OF ANY OF OUR PHYSICAL, TECHNICAL, OR MANAGERIAL SAFEGUARDS.

YOU, AS USER, AGREE THAT IT IS YOUR RESPONSIBILITY TO PROTECT THE SECURITY OF YOUR RECRUIT LOGIN INFORMATION AND RECRUIT DISCLAIMS ALL LIABILITY FOR SAME. YOU, AS USER SPECIFICALLY UNDERSTAND AND AGREE THAT EMAIL, INSTANT MESSAGING, AND ANY SIMILAR METHOD OF COMMUNICATION WITH OTHER RECRUIT MEMBERS OR USERS ARE NOT ENCRYPTED OR OTHERWISE PROTECTED BY RECRUIT, AND THEREFORE ANY CONFIDENTIAL INFORMATION COMMUNICATED BY YOU, THE USER, VIA SAME SHALL BE AT YOUR OWN RISK; RECRUIT SPECIFICALLY ADVISES AGAINST SUCH COMMUNICATIONS AND DISCLAIMS ANY AND ALL LIABILITY FOR SAME.

TO THE EXTENT PERMITTED BY LAW, RECRUIT AND ITS AGENTS, PARTNERS, EMPLOYEES, OFFICERS, DIRECTORS SHALL NOT BE LIABLE TO ANY PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF CONTENT OR DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUES, AS A RESULT OF ANY RECRUIT SERVICE, SERVICE INTERRUPTION, OFFENSIVE STATEMENT, OR UNAUTHORIZED USE OR CHANGE TO YOUR INFORMATION OR UPLOADED CONTENT. RECRUIT AND ITS AGENTS, PARTNERS, EMPLOYEES, OFFICERS, DIRECTORS SPECIFICALLY DISCLAIM ANY AND ALL LIABILITY FOR ANY ACTION, REACTION, INACTION OR ANY OTHER RESULT RELATED TO ANY RATING OR FLAGGING SYSTEM UTILIZED ACROSS ITS PLATFORMS. RECRUIT AND ITS AGENTS, PARTNERS, EMPLOYEES, OFFICERS, DIRECTORS SPECIFICALLY DISCLAIM ANY AND ALL LIABILITY FOR ANY HIRING PRACTICES OF ANY OF ITS USERS OR SUBSCRIBERS AND DOES NOT CONDONE ANY HIRING PRACTICE THAT VIOLATES ANY LAW IN THE JURISDICTIONS IN WHICH THE RECRUIT PLATFORM IS BEING USED.

ANY LIABILITY OF RECRUIT AND ITS AGENTS, PARTNERS, EMPLOYEES, OFFICERS, DIRECTORS, IN AGGREGATE, SHALL BE LESS THAN ONE THOUSAND UNITED STATES DOLLARS (US$1000.00).

AS A USER YOU UNDERSTAND AND AGREE THAT THESE LIMITATIONS OF LIABILITY ARE PART OF THE BASIS OF THE BARGAIN BETWEEN RECRUIT, AS SERVICE PROVIDER, AND YOU, AS USER, AND SHALL BE APPLICABLE IN EACH, EVERY, AND ANY CLAIM OF LIABILITY, INCLUDING BUT NOT LIMITED TO CLAIMS IN WARRANTY, TORT, NEGLIGENCE, CONTRACT, AND LAW.

NOTWITHSTANDING THE FOREGOING, RECRUIT ABIDES BY ANY LAWS PROHIBITING OR LIMITING THESE DISCLAIMERS.

Dispute Resolution

You agree that the laws of the United States, State of Florida, U.S.A., shall be the exclusive jurisdiction governing any dispute relating to the use of Recruit, including any interpretation of any Recruit policies or terms and conditions. You agree that the agreement between you and Recruit was entered into in Orange County, Florida, although you may be located elsewhere, and that any conflict of laws provisions are expressly waived and made null and void. You agree that any claims must be litigated in the federal or state courts of Orange County, Florida, USA, and you further agree to submit yourself to personal jurisdiction in those courts.
If any court of competent jurisdiction finds any Recruit Terms & Conditions, or any part thereof unenforceable, Recruit and you, as user, both agree that such court is requested to modify the offending terms in order to allow same to be enforceable while still achieving its initial intent. If the court cannot do that, Recruit and you, as user, both agree to request that such court remove such unenforceable part and thereafter to enforce the rest of the Recruit Terms & Conditions. Recruit and each and every user agree that translations of any Terms & Conditions are for convenience only and that the English version of same is binding.

YOU AND RECRUIT AGREE THAT NEITHER PARTY MAY ACT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE ACTION PROCEEDING WITHOUT PRIOR WRITTEN CONSENT OF THE OTHER PARTY, RATHER ANY ACTION BROUGHT BY A PARTY AGAINST ANY OTHER PARTY MUST BE ON AN INDIVIDUAL BASIS.

JURY WAIVER
YOU FURTHER AGREE THAT BY UTILIZING ANY RECRUIT PLATFORM YOU ARE WAIVING THE RIGHT TO A JURY TRIAL. IN THE ABSENCE OF THIS AGREEMENT, YOU MIGHT OTHERWISE HAVE HAD A RIGHT OR OPPORTUNITY TO BRING DISPUTES BEFORE A JURY. EXCEPT AS OTHERWISE PROVIDED IN THIS SECTION, SAID RIGHT IS WAIVED.

Recruit makes no waiver of any term or condition, even if it chooses not to enforce same. Although you consent that Recruit may assign any of its rights under the Terms & Conditions without your consent, no user right is assignable or otherwise transferrable without the specific written consent of Recruit and you specifically agree to same.

Recruit reserves the right, and specifically has the right, to change its Terms & Conditions. If Recruit determines to do so, it will provide you notice of said changes, which will not be retroactive. If you do not agree to the amended Terms & Conditions you must stop utilizing Recruit; if you continue to use Recruit, such use will signify to Recruit that you specifically consent to such changes.

You agree that the only way to provide us with legal notice is via traceable overnight delivery at the address listed for same on the Recruit website.

Employment Decisions

Other than for itself, Recruit has no input to any decision by any of its users or members to interview, hire, admit, or fire any candidate and Recruit does not condone any such decision. Any and all decisions made by any user or member is the decision of that entity, person, or institution alone. Recruit does not participate or advise in any consideration or decision of any user or member and specifically disclaims any liability for same. Notwithstanding the foregoing, Recruit believes that all of its members and users benefit from hiring practices free from discrimination.

Amendment

Recruit may amend its Terms & Conditions or its Privacy Policy at any time and from time to time and as it deems prudent. If any such amendment shall materially alter your rights as set forth herein Recruit will alert its users either by email, by posting such change on the Recruit platform, and/or as otherwise required or allowable by law.
